Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and Zion Datum Public Benefit Corporation ("Zion PBC," "we," "us," or "our") and govern your use of the Zion's OutPosts mobile application and related services ("OutPosts" or the "Service"). Please read them carefully. By creating an account or using OutPosts, you agree to these Terms, our Community Guidelines, our Prohibited Items policy, and our Privacy Policy.

If you do not agree, do not use the Service.

1. Who can use OutPosts

• You must be at least 16 years old to create an account or use OutPosts. We ask for your date of birth at sign-up to confirm this.
• If you are 16 or 17 (under 18), you may use OutPosts only with the involvement and consent of a parent or legal guardian.
• You must provide accurate account information and keep it up to date.
• You are responsible for activity that happens under your account, and for keeping your login secure.

2. The Service

OutPosts is a community platform that may include OutPost locations on a map, a content feed, posts (text, photos, and video), direct messages, the Shouts community marketplace, polls, Random Acts of Kindness, follows, likes, comments, Community Notes, verification badges, and related features. We may add, change, or remove features over time.

OutPosts is operated by Zion PBC and shares certain infrastructure and a member account system with our related product, LP Account. Your use of each product is governed by that product's terms.

3. Your account and acceptance of policies

Before using core features, you must review and accept the current Terms and Community Guidelines. When we make material changes, we may require you to accept the updated versions before continuing. Guests may have limited, read-only access.

4. Your content

You retain ownership of the content you create and share on OutPosts ("Your Content"). By posting Your Content, you grant Zion PBC a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, adapt, and distribute it solely to operate, improve, and promote the Service, and as needed to comply with law. This license ends when you delete Your Content or your account, except for content others have already shared, copies retained for backups for a limited time, and records we must keep for legal or safety reasons.

You are responsible for Your Content and represent that you have the rights to share it and that it does not violate these Terms or anyone else's rights.

5. Acceptable use

You agree to follow our Community Guidelines and Prohibited Items policy. You will not:

• Break the law or use OutPosts for illegal purposes.
• Harass, threaten, defame, or harm others.
• Post hateful, violent, sexually explicit, or exploitative content.
• Infringe intellectual property or privacy rights.
• Impersonate others or misrepresent your identity or affiliation.
• Spam, scam, defraud, or manipulate platform features such as likes, polls, or Community Notes.
• Interfere with, disrupt, reverse engineer, scrape, or attempt to gain unauthorized access to the Service.
• Upload malware or attempt to compromise the security of the Service or other users.

6. Shouts marketplace

Shouts lets members request, offer, barter, and sell items and services with one another. Important limits:

• Zion's OutPosts is a venue only. We are not a party to, and do not facilitate, payment for, or guarantee, any transaction between members.
• We do not process payments, hold funds, ship items, or verify the quality, safety, legality, or accuracy of any listing.
• You are solely responsible for your transactions, for complying with applicable laws and taxes, and for your own safety.
• Prohibited items and services may not be listed. See the Prohibited Items policy.

We are not responsible for disputes, losses, injuries, or damages arising from member transactions.

7. Verification and badges

We may offer verification badges to help the community establish trust (for example identity or OutPost host verification). Verification may rely on information you provide and, in some cases, third-party identity providers. Badges are granted at our discretion and may be revoked. A badge is not a guarantee, endorsement, or warranty by Zion PBC of any member's conduct.

8. Moderation and enforcement

We and our moderators may review content and take action consistent with the Community Guidelines, including hiding or removing content, warning, restricting, suspending, or banning accounts. Content may be automatically hidden after multiple reports pending review. We keep moderation records for safety and accountability. We may also remove content or suspend accounts to comply with law or protect the community, and we may report illegal activity to authorities.

You may contact us to request review of a moderation decision.

9. Location and device permissions

Some features use your device's location, camera, microphone, photo library, and notifications. You control these permissions in your device settings, but some features will not work without them. How we handle location and other data is described in our Privacy Policy.

10. Third-party services

OutPosts relies on third-party services (for example cloud hosting, push notification delivery, mapping and geocoding, and error monitoring) and may link to third-party sites or content. We are not responsible for third-party services or content, and your use of them may be governed by their own terms.

11. Intellectual property

The Service, including its software, design, logos, and trademarks, is owned by Zion PBC or its licensors and is protected by law. We grant you a limited, personal, non-transferable, revocable license to use the app for its intended purpose. You may not copy, modify, distribute, sell, or create derivative works from the Service except as permitted by law.

12. Termination

You may stop using OutPosts and delete your account at any time. We may suspend or terminate your access if you violate these Terms or to protect the Service or community. Sections that by their nature should survive termination (including content license terms already granted to others, disclaimers, limitations of liability, and dispute terms) will survive.

13. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that content (including content from other members) is accurate, safe, or reliable. You use OutPosts at your own risk.

14. Limitation of liability

To the fullest extent permitted by law, Zion PBC and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, goodwill, or other intangible losses, arising from your use of the Service, member transactions, or content. To the fullest extent permitted by law, our total liability for any claim relating to the Service will not exceed one hundred US dollars (US$100).

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

15. Indemnification

You agree to indemnify and hold harmless Zion PBC from claims, damages, losses, and expenses (including reasonable legal fees) arising from Your Content, your use of the Service, your transactions with other members, or your violation of these Terms or the law.

16. Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. You and Zion PBC agree that any dispute will be resolved in the state or federal courts located in California, and you consent to their jurisdiction, except where applicable law provides otherwise.

17. Changes to these Terms

We may update these Terms from time to time. When changes are material, we will notify you in the app and ask you to accept the updated Terms before continuing to use core features. Your continued use after an update means you accept the revised Terms.
